Introduction


This Writer Service Agreement ("Agreement") outlines the terms and conditions between Rotalia Freelancers ("Company") and the freelance writer ("Writer") for the provision of writing services. By accepting assignments from the Company, the Writer agrees to comply with the terms set forth in this Agreement.


Scope of Services



  1. Services Provided: The Writer agrees to provide writing services as specified in individual assignments provided by the Company. These services may include content writing, editing, proofreading, and SEO optimization.

  2. Quality Standards: The Writer agrees to deliver high-quality, original content that meets the Company's standards and guidelines. Plagiarism is strictly prohibited.


Assignment and Delivery



  1. Assignment Acceptance: The Writer has the right to accept or decline assignments offered by the Company. Once an assignment is accepted, the Writer is expected to complete it by the agreed-upon deadline.

  2. Delivery: The Writer agrees to deliver the completed assignment in the format specified by the Company, by the deadline provided. If the Writer is unable to meet the deadline, they must notify the Company as soon as possible.


Compensation



  1. Payment Terms: The Company agrees to pay the Writer for completed assignments based on the rates agreed upon prior to the start of the assignment. Payment terms will be specified in the assignment details.

  2. Payment Schedule: Payments will be made to the Writer upon approval of the completed work. The Company will process payments according to the schedule outlined in the assignment details.

  3. Payment Method: Payments will be made via the payment method agreed upon by both parties, which may include bank transfer, PayPal, or other agreed-upon methods.


Revisions and Edits



  1. Revisions: The Company may request revisions to the completed work if it does not meet the agreed-upon standards or requirements. The Writer agrees to make the necessary revisions promptly and without additional charge.

  2. Edits: Minor edits and adjustments may be made by the Company to ensure the content meets the required standards.


Confidentiality



  1. Confidential Information: The Writer agrees to treat all information provided by the Company as confidential and will not disclose it to any third party without the Company's written consent.

  2. Non-Disclosure: The Writer agrees not to disclose any information regarding the Company's business practices, clients, or any other confidential information obtained during the course of their work with the Company.


Intellectual Property



  1. Ownership: All content created by the Writer for the Company is the property of the Company upon payment. The Writer agrees to transfer all rights, titles, and interests in the content to the Company.

  2. Usage Rights: The Writer retains no rights to the content and may not reuse, resell, or distribute the content without the Company's written consent.


Termination



  1. Termination by Company: The Company reserves the right to terminate this Agreement at any time if the Writer fails to meet the required standards or deadlines.

  2. Termination by Writer: The Writer may terminate this Agreement by providing written notice to the Company. Any assignments in progress must be completed unless otherwise agreed upon by both parties.


Dispute Resolution



  1. Informal Resolution: Both parties agree to attempt to resolve any disputes informally before seeking arbitration or legal action.

  2. Arbitration: If a dispute cannot be resolved informally, it will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.


Miscellaneous



  1. Independent Contractor: The Writer is an independent contractor and not an employee of the Company. This Agreement does not create an employment relationship.

  2. Governing Law: This Agreement is governed by the laws of the state in which the Company is headquartered.

  3. Entire Agreement: This Agreement constitutes the entire agreement between the Company and the Writer and supersedes all prior agreements and understandings, whether written or oral.
